These GTC prevail over any other condition appearing in any other document, unless prior written agreement has been provided by the Seller. <\/p>\n<h2>Article 1 \u2013 Subject and Scope<\/h2>\n<p>1.1 The purpose of these GTC is to define the conditions under which Ch\u00e2teau Mille Roses markets its wines and associated services to:<\/p>\n<p>private customers (hereinafter \"B2C Client\"), acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, or professional activity;<br \/>\nprofessional customers (hereinafter \"B2B Client\"), acting within the framework of their professional activity (wine merchants, restaurateurs, distributors, importers, traders, hotels, works councils, etc.).<\/p>\n<p>1.2 The website https:\/\/www.chateaumilleroses.com\/ is a showcase site. No payment or firm order can be made directly on it. Any request made via the site results in a contact, the establishment of a quote, or a nominative purchase order subject to the express acceptance of the Client.<br \/>\n1.3 Certain provisions of these GTC apply specifically to the B2C Client or the B2B Client. These are clearly identified as such.   <\/p>\n<h2>Article 2 \u2013 Sale of Alcohol: Mandatory Disclosures<\/h2>\n<p>2.1 Prohibition of sale to minors. In accordance with Article L.3342-1 of the French Public Health Code, the sale of alcohol to minors under the age of 18 is prohibited. By placing an order, the Client certifies on their honor that they are of legal age. Ch\u00e2teau Mille Roses reserves the right to request proof of age and to refuse or cancel any order in case of doubt.<br \/>\n2.2 Health warning. Alcohol abuse is dangerous for your health. Consume in moderation.<br \/>\n2.3 The sale, delivery, and consumption of alcoholic beverages are subject to French regulations and, where applicable, those of the country of destination. It is the responsibility of the Client located outside of France to verify the legality of importing wine into their country.      <\/p>\n<h2>Article 3 \u2013 Products and Availability<\/h2>\n<p>3.1 The wines offered are described on the site with essential information: appellation, vintage, grape variety, capacity, alcohol content, and indicative price when communicated.<br \/>\n3.2 Photographs and descriptions of the products are provided for information purposes only. Minor variations in presentation (label, capsule, available vintage) shall not engage the Seller's liability.<br \/>\n3.3 Offers are valid while stocks last. In the event of a product being unavailable after an order has been placed, the Seller shall inform the Client as soon as possible and offer a choice of: an equivalent substitute product, a postponement of delivery, or a refund of any sums paid.  <\/p>\n<h2>Article 4 \u2013 Ordering Process<\/h2>\n<p>4.1 The Client makes a request via the contact form on the site, by email, or by telephone.<br \/>\n4.2 The Seller prepares a quote or a commercial proposal specifying: the nature and quantity of the products, the unit and total price excluding tax (HT) and including tax (TTC), delivery costs, indicative lead times, and payment terms.<br \/>\n4.3 The order is firm and final upon receipt by the Seller of the quote signed by the Client (handwritten or electronic signature), or any equivalent written confirmation (explicit acceptance email).<br \/>\n4.4 The Seller reserves the right to refuse any order for legitimate reasons, notably in the event of a prior dispute, non-payment, or a request clearly disproportionate to its activity.<br \/>\n4.5 Minimum order. For any shipment within mainland France, the minimum order is set at 12 bottles. For a purchase directly at the estate (16 chemin de Canteloup, 33460 Macau-en-M\u00e9doc), no minimum order is required.  <\/p>\n<h2>Article 5 \u2013 Price<\/h2>\n<p>5.1 Wine prices are expressed in euros. Prices indicated on the site or in commercial materials are for information purposes only and may be modified at any time without notice. Only the price appearing on the quote or purchase order accepted by the Client is binding on the Seller.<br \/>\n5.2 Prices are understood to be excluding tax (HT) for B2B Clients and including all taxes (TTC) for B2C Clients, excluding delivery costs which are invoiced additionally according to the current rate schedule or a specific quote.<br \/>\n5.3 Prices include excise duties applicable in France. For sales to French wine merchants, the Interprofessional Tax (CVO) is re-invoiced at a rate of 50%. For any delivery outside of France, taxes, customs duties, or import fees may be added and remain the exclusive responsibility of the Client.<br \/>\n5.4 The Seller reserves the right to modify its rates at any time. The applicable prices are those in effect on the date of acceptance of the quote.     <\/p>\n<h2 style=\"text-align: left;\">Article 6 \u2013 Payment Terms<\/h2>\n<p>6.1 B2C Client. Payment is made at the time of the order, by bank transfer or any other means specified on the quote. The order is only processed after effective collection.<br \/>\n6.2 B2B Client. Unless otherwise agreed and mentioned on the quote, the payment terms are as follows:   <\/p>\n<p><strong>B2B France<\/strong>: for any first order, payment is made before the wines are shipped. For registered clients, payment is then made by direct draft at 30 days from the date of shipment.<br \/>\n<strong>B2B Export (EU and non-EU)<\/strong>: payment is made before order preparation and shipment.<\/p>\n<p>6.3 Late payment penalties (B2B). In accordance with Articles L.441-10 and L.441-11 of the French Commercial Code, any delay in payment shall automatically result, without a reminder being necessary, in: <\/p>\n<p>late payment penalties equal to three times the legal interest rate in force;<br \/>\na fixed indemnity for recovery costs of 40 euros;<br \/>\nan additional indemnity upon justification if the actual costs incurred are higher than this fixed amount.<\/p>\n<p>6.4 Discount. No discount is granted for early payment, unless otherwise stated on the quote.<br \/>\n6.5 Retention of title clause. The delivered products remain the full and entire property of the Seller until full payment of the price by the Client, in accordance with Articles 2367 et seq. of the French Civil Code. Nevertheless, the transfer of risks takes place upon delivery of the products to the carrier.   <\/p>\n<h2>Article 7 \u2013 Delivery<\/h2>\n<p>7.1 Delivery zones. Mainland France. For Corsica, French overseas territories (DOM-TOM), the European Union, and the rest of the world, delivery is possible subject to a specific study.<br \/>\n7.2 Carrier. Delivery organized by the estate is carried out by a carrier specialized in wine transport, or by an express carrier in certain cases. Collection from the estate is also possible, by prior appointment.<br \/>\n7.3 Lead times. Delivery times are indicated for information purposes on the quote or order confirmation. A delay in delivery cannot give rise to compensation, withholding, or cancellation of the order, except in the case of a clearly excessive delay attributable to the Seller and after a formal notice has remained unsuccessful.<br \/>\n7.4 Receipt. It is the Client's responsibility to check the condition of the packages upon receipt, in the presence of the carrier. Any anomaly (missing items, breakage, damaged package) must be:        <\/p>\n<p>precisely mentioned on the carrier's delivery note (mentions such as \"subject to\" or \"subject to unpacking\" are insufficient);<br \/>\nconfirmed in writing to the Seller within 3 working days following receipt (Article L.133-3 of the French Commercial Code);<br \/>\naccompanied by photographs of the packages and products concerned.<\/p>\n<p>Failing this, no claim can be taken into account.<br \/>\n7.5 On-site collection. Collection at Ch\u00e2teau Mille Roses (16 chemin de Canteloup, 33460 Macau-en-M\u00e9doc) is possible by prior appointment. Risks are transferred to the Client upon collection.  <\/p>\n<h2>Article 8 \u2013 Right of Withdrawal<\/h2>\n<p>8.1 B2C Client. In accordance with Article L.221-18 of the French Consumer Code, the private Client has a period of 14 days from receipt of the products to exercise their right of withdrawal, without having to justify their decision.<br \/>\nTo exercise this right, the Client shall send the Seller a clear and unambiguous statement by post to the registered office or by email to <a href=\"mailto:contact@chateaumilleroses.com\">contact@chateaumilleroses.com<\/a> before the expiry of the period.<br \/>\nProducts must be returned in their original packaging, intact, and unopened, within 14 days following the notification of withdrawal. Return costs are the responsibility of the Client.<br \/>\nThe refund will be made no later than 14 days after receipt of the returned products, using the same means of payment as that used for the order.<br \/>\n8.2 Exclusions. The right of withdrawal does not apply to products that have been opened, unsealed, or damaged by the Client, nor to sales concluded between professionals (B2B Client).<br \/>\n8.3 En primeur wines and reserved vintages. Sales relating to en primeur wines (deferred delivery after bottling) or nominative allocations of rare vintages are subject to special conditions specified on the quote. The right of withdrawal applies under the conditions provided for in Article 8.1 for the B2C Client.     <\/p>\n<h2>Article 9 \u2013 Warranties<\/h2>\n<p>9.1 The Seller is bound, with respect to the B2C Client, by the legal warranty of conformity (Articles L.217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).<br \/>\n9.2 The warranty does not cover alterations resulting from improper storage by the Client (exposure to heat, light, vibrations, or unsuitable humidity conditions).<br \/>\n9.3 In the event of a defective wine (corked, oxidized, obvious defect), the Client shall inform the Seller within a reasonable time following the discovery of the defect, keeping the bottle in question and its residual content to allow for verification. After a joint observation or expert assessment, the Seller will proceed with the replacement of the bottle or a refund. <\/p>\n<h2>Article 10 \u2013 Force Majeure<\/h2>\n<p>10.1 The Seller cannot be held responsible for a delay or failure to perform resulting from a case of force majeure within the meaning of Article 1218 of the French Civil Code, notably: exceptional weather conditions affecting the harvest or transport, strikes, fire, epidemic, administrative decision, armed conflict, interruption of means of transport, or failure of suppliers or service providers.<br \/>\n10.2 In the event of force majeure prolonged beyond 60 days, each party may terminate the contract automatically, without compensation, by registered letter with acknowledgment of receipt.<\/p>\n<h2>Article 11 \u2013 Liability<\/h2>\n<p>11.1 The Seller's liability can only be engaged in the event of proven fault and is limited, unless otherwise provided by mandatory law, to the amount of the order concerned.<br \/>\n11.2 The Seller cannot be held liable for indirect damages (loss of business, loss of opportunity, commercial prejudice) suffered by the B2B Client.<br \/>\n11.3 It is the Client's responsibility to ensure that the consumption of the products ordered is consistent with their personal situation (pregnancy, medical treatments, driving a vehicle, etc.).<\/p>\n<h2>Article 12 \u2013 Intellectual Property<\/h2>\n<p>All elements appearing on the site and commercial materials of Ch\u00e2teau Mille Roses (texts, photographs, logos, brands, videos, labels, visual identity) are protected by intellectual property law and remain the exclusive property of the Seller or its beneficiaries. Any reproduction, representation, or exploitation without prior written authorization is prohibited. <\/p>\n<h2>Article 13 \u2013 Personal Data<\/h2>\n<p>13.1 Personal data collected in the context of orders are processed by the Seller as the data controller, in accordance with Regulation (EU) 2016\/679 (GDPR) and the amended French Data Protection Act.<br \/>\n13.2 Purposes: order management, invoicing, delivery, customer relations, accounting and tax obligations, and, subject to the Client's consent, sending commercial information.<br \/>\n13.3 Retention period: the period necessary for the purposes described, increased by the legal limitation periods (10 years for accounting matters).<br \/>\n13.4 The Client has a right of access, rectification, erasure, limitation, opposition, and portability of their data, to be exercised with <a href=\"mailto:contact@chateaumilleroses.com\">contact@chateaumilleroses.com<\/a>. They also have the right to lodge a complaint with the CNIL. <\/p>\n<h2>Article 14 \u2013 Claims and Mediation<\/h2>\n<p>14.1 Any claim must be sent in writing to the Seller at the registered office address or by email to <a href=\"mailto:contact@chateaumilleroses.com\">contact@chateaumilleroses.com<\/a>.<\/p>\n<h2>Article 15 \u2013 Applicable Law and Jurisdiction<\/h2>\n<p>15.1 These GTC are governed by French law.<br \/>\n15.2 B2C Client. In the event of a dispute, the private Client may, at their choice, bring the matter before the jurisdiction of the place where they resided at the time of the conclusion of the contract, the place of effective delivery, or the jurisdiction of the Seller's registered office (Article R.631-3 of the French Consumer Code).<br \/>\n15.3 B2B Client. Any dispute relating to the formation, execution, or interpretation of these terms falls under the exclusive jurisdiction of the Commercial Court of Bordeaux, notwithstanding multiple defendants or third-party appeals.  <\/p>\n<h2>Article 16 \u2013 Miscellaneous Provisions<\/h2>\n<p>16.1 Modification of the GTC. The Seller reserves the right to modify these GTC at any time. The applicable GTC are those in effect on the date of acceptance of the quote by the Client.<br \/>\n16.2 Partial invalidity. If any of the provisions of these terms were declared null or inapplicable, the other provisions would retain their full validity.<br \/>\n16.3 Non-waiver.
